THIS USER AGREEMENT (“Agreement”) DESCRIBES THE TERMS AND CONDITIONS ON WHICH DITROPGO TECHNOLOGIES INC., OPERATING AS DITROPGO, PROVIDES ACCESS TO THE DITROPGO PLATFORM AND ALL RELATED SERVICES.

Welcome to the User Agreement for ditropgo.com, a website and digital platform owned and operated by DitropGo Technologies Inc., a corporation operating in the Province of New Brunswick (“DitropGo”, “We”, “Us”, or “Our”).

This Agreement constitutes a legally binding contract between You (“You,” “Your,” or “User”) and DitropGo and governs Your use of all services provided through the DitropGo Platform.

DitropGo operates a digital platform that enables individuals seeking transportation (“Passengers”) to connect with individuals driving to or through particular destinations (“Drivers”). Collectively, all platform features, applications, technologies, and associated services shall be referred to as the “Services.”

By registering for or using the Services, You agree to be bound by this Agreement. If You do not agree, do not register, access, or use the DitropGo Platform.

DitropGo may amend this Agreement at any time by posting updated terms on the Platform. Unless otherwise stated, amended terms become effective 30 days after posting. Continued use of the Services constitutes acceptance of the revised Agreement.

1. Eligibility

You may use the Services only if:

You are at least 18 years old;
You are legally capable of entering into binding contracts;
Your account has not been suspended or terminated by DitropGo.

You agree not to allow any other person to use Your account or transfer Your account to another individual.

2. Registration

To access the Services, You must create an account. Registration is free. You agree to provide accurate, current, and complete information and to keep such information updated. Failure to do so may result in suspension or termination of Your account.

3. TERM AND TERMINATION

This Agreement becomes effective once You register.

You may terminate Your account at any time by submitting written notice or using in-app account termination features. DitropGo may suspend or terminate Your account at any time for breach of this Agreement or for behavior we deem unsafe, unlawful, or harmful to the Platform or community.

Upon termination, Your information will be removed from Our active systems; however, archived copies may be retained as required by law.

4. YOUR INFORMATION

“Your Information” includes all data, content, and materials You provide to DitropGo or other Users.

You agree that:

You are solely responsible for Your Information;
Your Information must not be false, misleading, unlawful, defamatory, obscene, offensive, or harmful;
Your Information must not violate any third-party rights;
You will maintain appropriate security of Your login credentials.

You grant DitropGo a non-exclusive, worldwide, royalty-free, perpetual license to use, copy, display, transmit, and distribute Your Information for purposes connected to the operation of the Platform.

5. RESTRICTED ACTIVITIES

You agree not to:

Impersonate another person or entity;
Harass, stalk, or threaten others;
Interfere with the Platform’s operation;
Engage in scraping, automated data collection, or reverse engineering;
Post viruses, malware, harmful code, or any action that disrupts the Service;
Use the Platform for unlawful, harmful, or fraudulent purposes.

6. SERVICE NATURE AND LIMITATIONS

DitropGo is not a transportation company.
DitropGo does not employ Drivers.
DitropGo does not provide transportation services.

The Platform merely facilitates connections between Drivers and Passengers. DitropGo has no control over:

The quality, safety, or legality of rides;
The reliability or accuracy of User information;
Whether rides are completed as arranged;
The actions or conduct of Drivers, Passengers, or third parties.

Users assume all risks associated with engaging with other Users.

7. FEES AND PAYMENTS

The DitropGo Platform may charge fees for certain Services.
Transportation fees are determined through the Platform and may be updated periodically.
All fees are non-refundable, unless required by law.
Payments are processed through third-party payment processors such as Stripe or WePay.
DitropGo may charge or collect fees including cleaning fees, administrative fees, or other charges when applicable.

Cleaning Fees

You agree to pay a cleaning fee of up to $250 for any damage, soilage, spills, or stains caused to a Driver’s vehicle.

8. USE OF APP STORE SOURCED APPLICATIONS

Where applicable, You agree to comply with Apple App Store or Google Play Store terms. You acknowledge that the app provider is DitropGo, and not Apple or Google.

9. LICENSE GRANT

DitropGo grants You a limited, revocable, non-transferable license to use the Platform on devices You own, subject to this Agreement.

You may not:

Copy, modify, distribute, reverse-engineer, or decompile the application;
Rent, sell, sublicense, or transfer the application;
Use the application on unauthorized devices.

10. ELECTRONIC COMMUNICATIONS CONSENT

By registering, You consent to receive emails, SMS, push notifications, and in-app communications from DitropGo regarding:

Rides and match notifications;
Promotions and updates;
Account notices and legal updates.

You may opt out of promotional messages at any time. To stop SMS entirely, reply “STOP”.

11. INTELLECTUAL PROPERTY

All Platform content, software, trademarks, logos, and proprietary materials are the property of DitropGo and are protected by Canadian and international intellectual property laws.

You may not copy, modify, or use any DitropGo IP without written authorization.

12. INDEMNITY

You agree to defend, indemnify, and hold harmless DitropGo, its employees, directors, agents, and affiliates from any claims, losses, damages, liabilities, or expenses arising from:

Your use of the Services;
Your breach of this Agreement;
Your interactions with other Users;
Any claims arising from Your operation of a motor vehicle;
Any third-party claims relating to Your content or conduct.

This indemnity applies regardless of negligence by any indemnified party.

13. DISCLAIMERS

The Services are provided “as is” and “as available” without warranties of any kind, express or implied.

DitropGo does not warrant that:

The Services will be error-free or uninterrupted;
Users are who they claim to be;
Drivers or Passengers will behave safely or lawfully;
Rides will be timely, secure, or completed.

Users assume all risks associated with using the Platform.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by New Brunswick law:

DitropGo shall not be liable for:

Indirect, consequential, incidental, punitive, or special damages;
Personal injury, death, emotional harm, assault, or accidents relating to rides;
Loss of data, lost profits, or business interruption.

DitropGo’s total liability to any User for any claim shall not exceed:
CAD $100 (one hundred Canadian dollars).

15. DISPUTE RESOLUTION ARBITRATION

Any dispute arising under this Agreement shall be resolved by binding arbitration in Saint John, New Brunswick, in accordance with the Arbitration Act (New Brunswick).
The arbitration shall be conducted in English before a single arbitrator.

16. PRIVACY

Your information will be handled in accordance with the DitropGo Privacy Policy.
DitropGo does not sell User data.
If You do not agree to the transfer or processing of Your data, do not use the Platform.

17. NO AGENCY

Nothing in this Agreement creates an employer-employee relationship, joint venture, partnership, or agency relationship between You and DitropGo.

18. PROMOTIONS

DitropGo may offer promotional codes at its sole discretion. All promotions may be modified or revoked without notice.

20. RELEASE

By using the Platform, You release DitropGo from any liability or claims arising from disputes with other Users, including Drivers, Passengers, or third parties.

21. BREACH

DitropGo may suspend or terminate Your account if You:

Breach this Agreement;
Provide false or unverifiable information;
Create potential liability or harm to other Users or DitropGo;
Engage in fraudulent or unsafe conduct.
